Shop Partner Agreement

Terms for repair shops in the FlashIt Repair partner network.

Agreement

This Shop Partner Agreement (“Agreement”) governs participation in the FlashIt Repair partner network by independent repair businesses (“Partner Shop,” “you,” or “your”). By applying, onboarding, or accepting bookings through FlashIt Repair Inc. (“FlashIt”), you agree to this Agreement.

This Agreement is between FlashIt Repair Inc., British Columbia, Canada, and the legal entity operating the Partner Shop.

Partner Shop responsibilities

You agree to operate professionally and in good faith when serving FlashIt customers:

  • Maintain accurate shop profile, hours, and real-time availability in the FlashIt dashboard.
  • Honour confirmed appointment times and notify FlashIt and the customer promptly if delays or closures occur.
  • Perform diagnoses honestly and quote final pricing before beginning chargeable work.
  • Complete repairs to a high standard consistent with industry best practices and applicable law.
  • Communicate repair status updates through FlashIt so customers receive timely notifications.
  • Treat customer data confidentially and use it only to fulfil bookings assigned to your shop.

Parts quality standard

All repairs performed for FlashIt customers must use the highest quality OEM or OEM-equivalent parts available for the device and repair type. Aftermarket, refurbished-to-unknown-standard, or low-quality substitute parts are not permitted unless FlashIt provides written approval for a specific exception.

You must disclose part grade to the customer when requested and retain reasonable records of parts used for warranty claims.

Commission and platform fees

FlashIt charges a platform fee on completed, paid bookings processed through the Platform. Your applicable commission and fee schedule will be provided during onboarding and may be updated with reasonable notice.

Payment processing

FlashIt collects customer payments on your behalf through Stripe. After a successful charge, FlashIt remits your share minus the platform fee according to the payout schedule in your onboarding materials.

You are responsible for taxes, licences, and regulatory compliance related to your repair business.

Data access

Partner Shops receive access only to data necessary to operate their location, including bookings, customer contact details, and shop-specific analytics. You may not access other shops’ data, export customer lists for unrelated marketing, or sell customer information.

Performance and removal

FlashIt may monitor quality signals including customer ratings, complaint volume, no-show rates, warranty claim rates, and policy violations.

FlashIt reserves the right to suspend or remove Partner Shops from the network for poor performance, repeated customer complaints, failure to maintain availability, use of prohibited parts, or breach of this Agreement, with or without notice depending on severity.

Intellectual property

FlashIt grants you a limited, non-exclusive licence to use FlashIt branding only as provided in approved marketing assets and only while you remain an active partner.

You may not use FlashIt trademarks, logos, or trade dress independently, imply endorsement beyond the partnership, or register confusingly similar names or domains.

Termination

Either party may terminate this Agreement with written notice as specified in onboarding materials. FlashIt may terminate immediately for material breach, fraud, or conduct that harms customers or the FlashIt brand.

Upon termination, you must complete in-progress repairs or transfer them by mutual agreement, cease use of FlashIt branding, and return or delete customer data except where retention is required by law.

Limitation of liability

To the extent permitted by law, FlashIt is not liable for your acts, omissions, or repair outcomes. You indemnify FlashIt against claims arising from your repair work, employment practices, and regulatory violations, except where caused by FlashIt’s gross negligence.

Governing law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Disputes will be resolved in the courts of British Columbia unless otherwise agreed in writing.
